1. Definitions and Interpretation

In these Terms, 'Client' refers to the contracting party, and 'Work' refers to the services, materials, and labour provided by DK&KM Infraprojects Private Limited.

These Terms & Conditions help ensure transparency, safety, and fair use of DK&KM Infraprojects Private Limited services.

2. Scope of Work & Executive Summary

The Company shall execute the Work as per the defined Scope and Executive Summary outlining objectives, deliverables, and timelines.

3. Contract Duration

The Contract commences on the agreed date and continues until completion unless terminated earlier. Extensions may apply for delays beyond control.

4. Variations and Change Orders

Any change to the scope, cost, or schedule must be approved in writing by both parties before execution.

5. Payment Terms

Payments shall follow the agreed schedule. Delays in payment may result in suspension of work or additional interest charges.

6. Insurance & Risk

The Company shall maintain necessary insurances. Risk transfers to the Client upon hand-over unless otherwise stated.

7. Delay, Disruption, and Liquidated Damages

Liquidated damages may apply for delays unless caused by Force Majeure or Client-related issues.

8. Termination or Suspension

Either party may terminate for breach, insolvency, or unsafe conditions. The Client shall pay for completed work upon termination.

9. Force Maje

No party shall be liable for failure due to events beyond reasonable control including natural calamities, government actions, or strikes.

10. Inspection & Claims

The Client may inspect work periodically. All claims must be submitted in writing within the agreed timeframe.

11. Warranties & Defects Liability

The Company warrants quality compliance and shall rectify defects within the warranty period at its cost.

12. Indemnification & Liability

The Client agrees to indemnify the Company from losses arising due to Client’s omissions or third-party actions.

13. Intellectual Property & Confidentiality

All documents remain the Company’s property. Both parties agree to confidentiality of shared information.

14. No Lien & Stop-Work Rights

The Company reserves the right to stop work for non-payment or access denial.

15. Choice of Law & Dispute Resolution

This Contract is governed by Indian law and disputes shall be settled in Odisha jurisdiction or through arbitration.

16. Disposal of Materials & Environment

Waste materials shall be disposed of responsibly per environmental laws.

17. Miscellaneous Provisions

All amendments must be in writing. Invalid provisions do not affect remaining clauses.

18. Enumeration of Documents

Includes Proposal, Scope of Work, BOQ, Change Orders, and related project records.
